(hereinafter referred to as the “Seller”)

  1. Scope

These Terms and Conditions (T&C) apply to all deliveries, sales, and services of Golden Adriatic Solutions, represented by Slavo Vukušić, hereinafter referred to as the “Seller,” toward its customers, hereinafter referred to as the “Buyer.”
The T&C apply in particular to the sale of boats of the brand Desner as well as to service and repair work in the field of boat technology. Deviating agreements shall only apply if confirmed in writing.

  1. Conclusion of Contract
    • The Seller’s offers are non-binding and subject to change.
    • A contract is concluded only through written order confirmation or by execution of the delivery/performance.
    • Changes and additions require written form.
  1. Prices and Payment Terms
    • All prices are in Euro (EUR) at the applicable statutory tax rate.
    • Payments are due without deduction within [e.g., 14 days] of the invoice date.
    • In case of default in payment, the Seller is entitled to charge statutory default interest according to the Croatian Obligations Act (Zakon o obveznim odnosima).
  1. Delivery and Transfer of Risk
    • Delivery dates are only binding if confirmed in writing.
    • Risk passes to the Buyer upon delivery of the goods to the Buyer or the carrier.
    • Unforeseeable events such as force majeure, natural disasters, or official measures extend the delivery period accordingly.
  1. Retention of Title
    • The delivered boats and spare parts remain the property of the Seller until full payment of all claims.
    • The Buyer is obliged to handle the boats subject to retention of title with care.
  1. Warranty and Liability
    • For new boats of the Desner brand and spare parts, the warranty period is [e.g., 24 months] from delivery.
    • For used boats, the warranty period is [e.g., 12 months], as far as legally permissible.
    • The Seller is not liable for damages caused by improper use, lack of maintenance, or improper repairs.
    • Claims for damages are limited to intent and gross negligence.
  1. Service and Repair Work
    • Repair and maintenance work on boats is carried out according to recognized standards and to the best of knowledge.
    • Complaints must be reported in writing immediately.
    • Manufacturer warranties apply to spare parts.
  1. Limitation of Liability
    • The Seller is not liable for indirect damages, loss of profit, or other consequential damages, unless mandatory law prescribes otherwise.
    • The liability amount is limited to the purchase price of the affected product.
  1. Jurisdiction and Applicable Law
    • The law of the Republic of Croatia applies.
    • The exclusive place of jurisdiction for all disputes arising from contractual relationships is – as far as legally permissible – the Seller’s place of business in Split, Croatia.
  1. Final Provisions
    • Should individual provisions of these Terms and Conditions be invalid, the validity of the remaining provisions shall remain unaffected.
    • Changes or additions to these Terms and Conditions require the written form.
